Introduction
MiAssistant.AI Inc. ('us', 'we', or 'our') operates the www.mianalyst.ai website and within it the MiA platform (the 'Service'). This page informs you of our Terms of Use (“Terms”). These terms govern  your organization’s (“Customer,” “you,” or “your”) access to and use of our software-as-a-service platform (“Platform”), provided through our website MiAnalyst.ai (“Website”) and customer specific URLs.

 

By accessing or using the Platform on behalf of your organization, you represent and warrant that you have the authority to bind your organization to these Terms. If you do not agree, your organization may not use the Platform.

Acceptance of Terms

 

By registering for an account or using the Platform, you confirm that you:

 

  • Have the authority to enter into these Terms on behalf of your organization

  • Agree that your organization will be bound by these Terms.

  • Consent to our Privacy Policy, available at https://mianalyst.ai/privacy.

 

Services Provided

 

MiAssistant.AI provides enterprise AI analysis and automation SaaS platform. We reserve the right to modify or discontinue the Platform (or any part thereof) at any time without prior notice.

 

User Accounts and Organizational Responsibility

 

  • User Access: Users within your organization must comply with these Terms and any policies we provide.

 

  • Responsibility for Users: Your organization is responsible for all activity conducted by its users, including compliance with these Terms and payment obligations.

 

Payment and Billing

 

  • Fees and Invoicing: Subscriptions are subject to the fees outlined in your service agreement or order form. Payments are due in accordance with the agreed billing cycle.

  • Late Payments: Overdue amounts may accrue interest and could result in suspension of access to the Platform.

​

  • Taxes: All fees exclude applicable taxes, which are your responsibility unless a valid tax exemption certificate is provided.

 

Acceptable Use Policy

 

Your organization and its users must not:

  • Use the Platform for unlawful purposes.

  • Reverse-engineer, decompile, or disassemble any part of the Platform.

  • Introduce malware, viruses, or other harmful components.

  • Attempt to gain unauthorized access to the Platform or its systems.

 

Violation of this section may result in suspension or termination of access.

 

Service Levels and Support

 

We will use commercially reasonable efforts to provide the Platform in accordance with any Service Level Agreement (SLA) included in your service agreement. For support, please contact  support@mianalyst.ai.

 

 

Intellectual Property

 

  • Ownership: All intellectual property rights in the Platform, including software, features, and documentation, are owned by MiAssistant.AI or its licensors.

  • Customer Data: You retain ownership of any data your organization uploads to the Platform. By using the Platform, you grant us a license to process and use your data as necessary to provide services.

 

Data Privacy

 

Your use of the Platform is subject to our Privacy Policy, which details how we handle customer and user data https://mianalyst.ai/privacy.

 

We implement industry-standard measures to protect your data but do not guarantee that unauthorized access will never occur.

 

Termination

 

  • Termination by You: You may terminate your subscription by providing written notice in accordance with your service agreement.

  • Termination by Us: We may suspend or terminate your account for breach of these Terms or non-payment.

​

  • Post-Termination: Upon termination, your access to the Platform will cease, and any data export must be completed within 30 days unless otherwise agreed.

 

Disclaimer of Warranties

 

  • Platform Warranties: We warrant that the Platform will perform substantially in accordance with its documentation under normal use.

  • Disclaimer: Except as expressly provided, the Platform is provided “AS IS” without warranties of any kind.

 

Limitation of Liability

 

To the fullest extent permitted by law:

  • MiAssistant.AI is not liable for indirect, incidental, or consequential damages arising out of your use or inability to use the Platform.

​

  • Our total liability will not exceed the fees paid by you in the past 12 months.

 

Governing Law

 

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, Canada.

 

Changes to Terms

 

We may update these Terms periodically. Changes will be posted on our Website with the “Effective Date” updated. Continued use of the Platform constitutes acceptance of the revised Terms.
